These Terms and Conditions govern your access to and use of the Velvet website, memberships, events, experiences, concierge services and related products or services.

By using our website, submitting an application, purchasing a membership, buying an event ticket or using any Velvet service, you agree to these Terms and Conditions.

1. About Velvet

2. Eligibility

You must be at least 18 years old to:

  • Create an account or membership profile.

  • Apply for or purchase a Velvet membership.

  • Purchase or consume alcohol.

  • Attend an age-restricted Velvet event.

  • Use services expressly limited to adults.

We may request valid identification or other information necessary to confirm your identity, age or eligibility.

Submitting false, misleading or incomplete information may result in an application being declined, access being refused or membership being suspended or cancelled.

3. Membership Applications and Approval

Some Velvet memberships are available only by application, approval or private invitation.

Submitting an application does not guarantee:

  • Approval or admission.

  • Access to a particular membership.

  • The availability of a membership position.

  • Access to an event, benefit or opportunity.

  • Any investment allocation or financial return.

Where prior approval is required, the membership can only be added and purchased after the applicant has been approved.

We may assess applications using the information supplied by the applicant and other information we are lawfully permitted to consider. Velvet reserves the right to approve or decline an application, subject to applicable New Zealand law.

Membership is personal to the approved member and may not be transferred, assigned, resold or shared unless Velvet gives prior written approval.

4. Membership Benefits

Membership benefits are determined by the membership category purchased and the specific description presented at the time of purchase.

Benefits may be subject to:

  • Eligibility requirements.

  • Event capacity.

  • Availability.

  • Participating venues or partners.

  • Advance booking requirements.

  • Health, safety and security requirements.

  • Additional event or service terms.

  • Applicable laws and licensing conditions.

Priority access means that eligible members will be considered according to the priority order applicable to their membership category. Priority does not guarantee admission, availability, allocation or access.

Discounts apply only to tickets, products, beverage packages, events or services identified by Velvet as eligible.

Partner benefits are provided subject to the participating partner’s availability and terms. Unless required by law, Velvet is not responsible for independent goods or services supplied directly by third-party partners.

5. Lifetime Memberships

Where a membership is described as a “lifetime membership”, it provides membership for the lifetime of the approved individual, subject to these Terms and any specific membership conditions.

A lifetime membership may be suspended or cancelled where the member:

  • Seriously or repeatedly breaches these Terms.

  • Engages in unlawful, threatening, abusive or unsafe conduct.

  • Harasses members, guests, employees, contractors or partners.

  • Misuses membership benefits or credentials.

  • Provides materially false or misleading information.

  • Damages Velvet property, venues or reputation through serious misconduct.

  • Attempts to transfer, resell or commercially exploit a personal membership without permission.

Before cancelling a membership for breach, Velvet will consider the seriousness of the conduct and any applicable legal obligations. Nothing in this section limits rights or remedies that cannot legally be excluded.

Unless expressly stated otherwise, a lifetime membership does not include ownership, equity, voting rights, directorial authority, management authority or strategic control over Velvet.

6. Prices and Payments

All prices are displayed in New Zealand dollars unless stated otherwise.

Prices include Goods and Services Tax where applicable, unless clearly stated otherwise.

You agree to provide accurate and complete billing information and authorise our payment provider to process the applicable payment.

Additional charges may apply to optional purchases, guest access, travel, accommodation, transportation, premium packages or other services not expressly included in the membership.

We may correct genuine pricing or description errors. If an error affects a completed purchase, we will contact you and provide an appropriate remedy consistent with New Zealand law.

7. Cancellations and Refunds

Cancellation and refund rights may vary depending on the membership, ticket, event, product or service purchased.

Any specific cancellation terms displayed during the purchasing process form part of these Terms.

Unless otherwise stated, requests should be sent to [SUPPORT EMAIL] and include the purchaser’s name, order information and reason for the request.

Nothing in these Terms excludes, restricts or modifies any rights or remedies available under the Consumer Guarantees Act 1993, the Fair Trading Act 1986 or other applicable New Zealand law.

If an event is cancelled by Velvet, affected customers will be advised of the available remedy, which may include a refund, credit or transfer, depending on the circumstances and applicable law.

If an event is postponed or materially changed, we will provide information about the available options.

Reasonable changes to performers, speakers, schedules, venues, menus or event programming do not automatically entitle a customer to a refund unless required by law or expressly stated in the applicable event terms.

8. Events and Venue Conduct

Entry to Velvet events may be subject to:

  • Presentation of a valid ticket or membership credential.

  • Proof of identity or age.

  • Dress standards disclosed before the event.

  • Venue rules.

  • Security screening.

  • Responsible service of alcohol requirements.

  • Compliance with reasonable staff and safety instructions.

We may refuse entry or remove a person where reasonably necessary to protect safety, comply with the law or respond to serious misconduct.

A person refused entry or removed because of their own unlawful, unsafe, abusive or materially non-compliant conduct may not be entitled to a refund, subject to applicable law.

Members and guests are responsible for their personal belongings.

9. Alcohol

Alcohol will only be supplied in accordance with applicable New Zealand licensing laws.

We may:

  • Require approved identification.

  • Refuse alcohol service to minors.

  • Refuse service to intoxicated persons.

  • Limit or stop alcohol service when reasonably necessary.

  • Require compliance with venue and licence conditions.

The inclusion of bottle service or beverage privileges does not guarantee unlimited alcohol service and remains subject to legal, licensing, safety and responsible-service requirements.

10. Concierge, Travel and Third-Party Services

Velvet may assist members with reservations, transportation, accommodation, travel, hospitality or other third-party services.

Unless expressly stated otherwise, third-party services are supplied by independent providers and may be governed by their own terms, availability requirements and cancellation policies.

Velvet does not guarantee the performance or availability of an independent provider. Nothing in this section excludes liability that cannot lawfully be excluded.

Members are responsible for passports, visas, insurance, health requirements and other documents or conditions associated with travel.

11. Strategic and Investment Opportunities

A Velvet membership is not an investment and does not purchase shares, ownership or equity.

References to future capital raises, shares, commercial opportunities or strategic opportunities are general membership benefits only. They do not constitute financial advice, an offer of financial products or a guarantee that an opportunity will be made available.

Any future investment opportunity will:

  • Be separate from the membership.

  • Require separate documentation.

  • Require additional capital.

  • Be subject to eligibility requirements and applicable law.

  • Carry its own risks and conditions.

Any founder shares offered will be non-voting unless official offer documentation expressly states otherwise. They will not provide management, directorial or strategic control.

Prospective investors should obtain independent legal, financial and tax advice before making an investment decision.

12. Website Use

You must not:

  • Use the website for unlawful or fraudulent purposes.

  • Attempt to gain unauthorised access to our systems or accounts.

  • Introduce malicious software or harmful code.

  • Scrape, copy or extract website data without permission.

  • Impersonate another person.

  • Interfere with the website’s operation or security.

  • Use Velvet branding or content without authorisation.

We may restrict or suspend website access where reasonably necessary to protect users, Velvet or its systems.

13. Intellectual Property

All Velvet names, logos, designs, photographs, videos, text, graphics, membership concepts and website materials are owned by or licensed to Velvet.

You may view and use the website for personal, non-commercial purposes.

You may not reproduce, distribute, modify, publish, sell or commercially exploit Velvet materials without prior written permission.

14. Photography and Media

Photography, filming or recording may take place at Velvet events.

Where required, we will provide appropriate notice or obtain consent. If you have concerns about appearing in identifiable promotional material, please contact event staff or [PRIVACY EMAIL].

Commercial photography, livestreaming or recording by attendees may require prior written approval.

15. Liability

To the fullest extent permitted by New Zealand law, Velvet is not responsible for indirect or consequential losses arising from matters outside its reasonable control.

Nothing in these Terms excludes, restricts or modifies:

  • Rights under the Consumer Guarantees Act 1993 where that Act applies.

  • Liability for fraud or wilful misconduct.

  • Any other right or liability that cannot lawfully be excluded.

You are responsible for losses or damage caused by your unlawful conduct or material breach of these Terms.

16. Events Outside Our Reasonable Control

Velvet will not be responsible for delays, changes or failures caused by circumstances outside its reasonable control, including natural disasters, severe weather, public health emergencies, government restrictions, venue closures, transport disruption, supplier failure or other comparable events.

Where such circumstances affect a paid service or event, Velvet will communicate the available options and comply with applicable New Zealand law.

17. Privacy

Our collection, use, storage and disclosure of personal information are governed by our Privacy Policy and the Privacy Act 2020.

18. Electronic Communications

If you consent to receive marketing communications, Velvet may send you information about memberships, events, offers and experiences.

Commercial electronic messages will identify the sender and include a functional way to unsubscribe.

You may unsubscribe at any time. Service messages necessary to administer an application, purchase, booking or membership may still be sent.

19. Changes to These Terms

We may update these Terms to reflect changes to our services, operations or legal obligations.

The updated Terms will be published on our website with a revised “Last updated” date.

Material changes affecting an existing paid membership will be communicated where reasonably practicable. Changes will not remove rights already acquired where doing so would breach applicable law or an express contractual commitment.

20. Governing Law

These Terms are governed by the laws of New Zealand.

The parties submit to the non-exclusive jurisdiction of the courts of New Zealand.
